Terms of Service
These Terms of Service ("Terms") are a legal agreement between you (whether an individual or a business) and Markmydigi Technologies ("Markmydigi", "we", "us", "our"), the sole proprietorship that operates Settle ("Settle", the "Service"), available at settle.markmydigi.com. By creating an account or otherwise using Settle, you agree to these Terms. If you don't agree, please don't use the Service.
1. What Settle is
Settle is invoicing and accounts software for Indian businesses: GST-compliant invoice generation, party (customer/vendor) and item management, payment tracking, expense recording, and related reports. Settle is a tool that helps you create documents and records based on information you provide — it is not a chartered accountant, tax advisor, or legal advisor, and using it does not by itself guarantee compliance with GST law or any other regulation. You remain responsible for the accuracy of the information you enter (GSTIN, tax rates, amounts, and everything else) and for your own tax filings and legal compliance.
2. Your account
- You must provide accurate information when registering, and keep your login credentials confidential. You're responsible for all activity that happens under your account.
- You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
- One workspace is fully isolated from every other workspace on Settle — you're responsible for who you give access to your own login.
- Tell us promptly (info@markmydigi.com) if you suspect unauthorized access to your account.
3. Plans and billing
- Settle offers a Free plan and one or more paid plans, each with stated limits and features. Current plans and pricing are shown at settle.markmydigi.com/#pricing and in your billing dashboard once signed in.
- Paid plans are billed in advance for the billing period shown at checkout (monthly or yearly). Payments are non-refundable — we don't provide partial or prorated refunds for unused time, including if you downgrade or stop using the Service partway through a billing period. You can cancel at any time; your paid access continues until the end of the period you already paid for, after which your workspace reverts to the Free plan's limits (your data is not deleted).
- We may change plan pricing or limits going forward. Changes won't retroactively apply to a period you've already paid for.
- If a payment fails or a subscription lapses, we may restrict access to paid features until it's resolved, but we won't delete your data solely for a billing issue without first giving you reasonable notice.
4. Your data and content
Everything you enter into Settle — your business details, invoices, parties, items, payments, expenses — is yours. We don't claim ownership of it, and we don't use it for any purpose other than providing the Service to you (see our Privacy Policy for the full detail on how we handle data). You're responsible for the accuracy and legality of the content you enter, including any information about your own customers or vendors.
5. Acceptable use
You agree not to:
- Use Settle for any unlawful purpose, or to create fraudulent invoices, records, or documents;
- Attempt to gain unauthorized access to another workspace's data, or to Settle's own systems;
- Interfere with or disrupt the Service (e.g. attempting to overload it, or probing for security vulnerabilities without authorization);
- Reverse-engineer, resell, or white-label the Service without our written permission;
- Upload malicious files or content that infringes someone else's intellectual property rights.
We may suspend or terminate accounts that violate this section.
6. Third-party services
Settle integrates with third-party services you may choose to connect or that we use to operate the platform — for example Razorpay (for payment collection, both our own subscription billing and any payment links you set up for your own clients) and Google (for optional "Sign in with Google"). Your use of those services is also subject to their own terms. We aren't responsible for the availability or conduct of third-party services outside our control.
7. Service availability
We aim to keep Settle available and reliable, but the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee uninterrupted or error-free operation, and we may perform maintenance, updates, or changes to the Service from time to time.
8. Limitation of liability
To the maximum extent permitted by law, Markmydigi Technologies will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of (or inability to use) Settle — including any error in a tax calculation, invoice, or record that resulted from information you entered. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose (or ₹0 if you were on the Free plan).
9. Termination
You may stop using Settle and close your account at any time by contacting info@markmydigi.com. We may suspend or terminate your access if you materially breach these Terms, engage in fraudulent or unlawful use, or if required by law. Where reasonably possible, we'll give you notice and a chance to export your data first.
10. Changes to these Terms
We may update these Terms from time to time — for material changes, we'll make a reasonable effort to notify you (e.g. by email or an in-app notice) before they take effect. Continuing to use Settle after a change takes effect means you accept the updated Terms.
11. Governing law
These Terms are governed by the laws of India. Any dispute arising from these Terms or your use of Settle will be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
